We offer legal services handling the formation of an Arizona Limited Liability Company (LLC) to purchase property in Mexico and we handle the transfer of membership interests in an Arizona LLC, where the only asset of the Arizona LLC is the beneficial interest of a Mexican Bank Trust and the right to use the property in Mexico. We work with your Mexican Licensed Realtors, Attorneys licensed in Mexico, and Mexican Closing Coordinators to complete each transfer or transaction.
LLC Formation
We will form your LLC to your specifications and needs. If you use the LLC as a title-holding entity for property in Mexico, we will ensure the LLC is set up correctly to purchase property in Mexico. We will ensure you have the documents required in Arizona and your team in Mexico to purchase your Mexican property. A newly formed LLC to purchase property in Mexico, which will also be the beneficiary of the Mexican Bank Trust, requires a Management Agreement & Member Resolution document, which we can prepare for you.
Transfer of LLC Membership Interest- Cash or Seller Carryback Purchase Agreements
We will document your transfer of LLC Membership interest with our Purchase agreement and related documents for cash or seller carryback deals. Seller carryback financing occurs when a seller acts as a lender or bank and carries a second mortgage on the home in question, which the buyer is responsible for paying off monthly with a lump sum balloon payment at the end of the promissory note. In Mexico, the seller carryback promissory notes are usually for five (5) years.
LLC Operating Agreement
Although not required in Arizona, every LLC should have an Operating Agreement. Depending on your needs, we will prepare the operating agreement to your specifications from simple to complex.
Contract Drafting

Statutory Agent
All Arizona LLCs require a Statutory Agent physically in the State of Arizona. To avoid the publication requirement of your newly formed LLC, you will want to have a statutory agent who is physically in either Maricopa or Pima County. If your statutory agent is not physically in either Maricopa or Pima County, you will need to publish the notice of incorporation under the publication laws of Arizona. DJS Accident Law, PC can be your appointed Statutory Agent for a yearly service fee, making it easy to avoid having to publish.
Apostilles
An "apostille" or a certificate of "authentication" is issued to certify an Arizona notary public, court clerk, or state document custodian to a foreign country. These certifications have been adopted internationally by the Hague Convention (PDF) as a uniform way of verifying documents sent between countries. Ensure your documents will be valid abroad and retain us to obtain apostilles for you.
